Countervail Corporation was formed in June 2007 to take advantage of a license opportunity for a new application of an existing drug as an antidote for volatile nerve gas and pesticide poisoning. In August 2007, Countervail signed a license agreement with the University of Maryland for the exclusive worldwide rights for commercialization of galantamine for this application. Significant safety and efficacy data exist to support the use of galantamine for this purpose along with substantial market potential.

Business Strategies

Countervail focuses its initial product development activities on new applications of existing generic versions of branded products. This approach leverages the regulatory position as well as the existing safety and efficacy data in humans for these compounds. Using this approach allows for a significant reduction in the time to market as well as the costs of clinical trials required. The Company believes this approach will, in general, be less affected by the intense and rapid pricing pressure. The IP protection assures that there will be few, if any, competitors and that Countervail will enjoy longer periods of limited competition and thus generate higher profit margins in the near term.

Patent Challenges

The Company’s products are protected by patent applications that have been in key worldwide markets. While challenges are expected, the current position is strong and any challenges will be met with aggressively. By utilizing the patent challenge process outlined in the Hatch-Waxman Act, the Company will obtain a declaration that its patent does not infringe on any existing patents.
